Text12.1: 4.3 - the deposit shall be provided to the acting notary in trust within 7 days of the lifting of all conditions of this Promise to Purchase. 11.1 - Signing the act of sale shall be on or before 30 days following the lifting of conditions of this Promise to Purchase. 11.2 - occupancy shall be the same day as the signing of the act of sale, immediately following. OTHER: 1 - During the sixty (60) day period following the receipt of all documents relevant to the Immovable (the 'Examination Period'), the Buyer may inspect and examine all aspects of the Immovable. The Seller shall, within 7 days of acceptance of this Promise to Purchase, provide the Buyer with copies of all documentation in the Seller's possession relevant to the Purchaser in respect of the Immovable (including but not limited to, those documents itemized in section 9.1, existing plans and the architect's work, all correspondences, building permits and any notices of non-compliance with any municipal or other authorities relating to the Immovable, the certificate of location, title to the Immovable, deed of servitudes, right of way, exclusivities, restrictions, etc. affecting the Immovable, the declaration of co-ownership (including key correspondences with and financials of the Syndicate of Co-ownership) and the documents associated with the debt pertaining to the Immovable). Should the Buyer be satisfied, in his sole discretion, with the result of his examinations, he shall give a written notice to that effect to the Seller before the expiry of the Examination Period, otherwise the Buyer shall be deemed to be dissatisfied and this Promise to Purchase shall therefore become null and void and there remains no further financial obligations between the parties. The Seller acknowledges that the Buyer shall have no obligation to provide any explanation or motivation for its decision. This clause is in addition to those conditions in clauses 8.1 and 9.1, and failure of the Buyer to provide any notice provided therewith within the stipulated timeframe shall not result in the Buyer being deemed to be satisfied on these aspects of the Immovable, and the Buyer shall still be required to provide a written notice to the effect he is satisfied with his examination hereunder. 2 - The Buyer shall be allowed a minimum of 5 visits to the property from the date of acceptance of this Promise to Purchase to the date of signing the act of sale. The Buyer shall give a minimum of 48 hours notice which shall be scheduled at a mutually convenient time. 3 - This sale is made without any legal warranty of quality, at the buyer's own risk. 4 - If requested, the Seller shall, without delay, sign a letter to the city authorization disclosure of further information about the property. 5 - From the date of acceptance of this Promise to Purchase until the signing of the act of sale, the Seller shall not make any material changes to the property but shall remain responsible for the good maintenance and repairs, if required, during that period. If repairs do become necessary, the Seller shall notify the Buyer in writing within 24 hours of becoming aware of the need.
